By accessing or using Food Safety Audit ("the Service"), operated by Rueth Systems & Strategy LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

2. Description of Service

Food Safety Audit is a document management and compliance platform designed to help food facilities organize documentation for regulatory audits (such as FDA and SQF). The Service provides:

  • Document organization across 20 audit-aligned categories
  • AI-powered document categorization
  • Compliance report generation with gap analysis
  • Google Drive integration for document linking
  • Team collaboration and access control features

The Service is a software tool to help organize documentation and identify potential gaps.We do not guarantee audit results, regulatory outcomes, or certification decisions. Audits and inspections depend on many factors outside our control, including the accuracy and completeness of the documents you provide, auditor discretion, and regulatory requirements that may change.

The Service does not provide legal, regulatory, or professional compliance advice. You should consult with qualified food safety professionals and legal counsel for specific compliance guidance.

3. Account Registration

To use the Service, you must create an account using Google Sign-In. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Customer Content

4.1 Ownership

You retain all ownership rights to the documents and content you link to or upload through the Service ("Customer Content"). We do not claim ownership of your Customer Content.

4.2 License to Us

By using the Service, you grant us a limited, non-exclusive license to access, process, and display your Customer Content solely to provide the Service to you. This includes processing document metadata for categorization and report generation.

4.3 Your Responsibilities

You represent and warrant that:

  • You own or have the necessary rights and permissions to use and share the Customer Content
  • Your Customer Content does not violate any laws or third-party rights
  • You are responsible for the accuracy and completeness of your documents
  • You have obtained necessary consents for any personal information in your documents

4.4 AI-Generated Outputs

The Service uses artificial intelligence to categorize documents and generate compliance reports. AI outputs are provided as suggestions and tools to assist your compliance efforts. You acknowledge that:

  • AI categorization may not be 100% accurate and should be reviewed
  • Gap analysis and recommendations are advisory, not definitive compliance assessments
  • You are responsible for verifying AI outputs before relying on them
  • AI outputs do not constitute legal, regulatory, or professional advice

5. Subscription and Payment

5.1 Free Trial

We offer a 14-day free trial with no credit card required. During the trial, you have access to all features of your selected plan. After the trial period:

  • You may subscribe to a paid plan to continue using the Service
  • If you do not subscribe, your data will be retained for 30 days
  • After 30 days, your data may be permanently deleted

5.2 Subscription Plans

Paid subscriptions are billed monthly. Current pricing is displayed on our website and may be updated from time to time. We will notify you of any price changes before your next billing cycle.

5.3 Onboarding Fee

A one-time onboarding fee of $349 applies to new subscriptions. This fee covers:

  • Initial Google Drive folder import and setup
  • Custom category rules configuration
  • Initial gap report review call (30 minutes)
  • Admin training and permissions setup
  • Audit-ready document structure creation

5.4 Refunds and Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You will retain access until the end of your current billing period
  • No refunds are provided for partial months
  • The onboarding fee is non-refundable after services have been rendered
  • Your data will be retained for 30 days after cancellation

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Upload or link to illegal, harmful, or offensive content
  • Infringe on intellectual property rights of others
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service or servers
  • Use automated tools to scrape or extract data
  • Resell or redistribute the Service without authorization
  • Use the Service for any purpose other than its intended use

7. Security and Customer Responsibilities

We implement industry-standard security measures to protect the Service. You are responsible for:

  • Maintaining the security of your Google account
  • Managing access permissions for team members appropriately
  • Ensuring your Google Drive sharing settings are configured correctly
  • Reporting any security concerns to us promptly

8. Termination

We may suspend or terminate your access to the Service:

  • If you violate these Terms
  • If your payment fails and is not resolved within 7 days
  • If we reasonably believe your use poses a security risk
  • If required by law or legal process

Upon termination, you may request an export of your data within 30 days. After 30 days, your data may be permanently deleted.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF AI-GENERATED OUTPUTS OR COMPLIANCE RECOMMENDATIONS.

WE ARE NOT RESPONSIBLE FOR ANY AUDIT OUTCOMES, REGULATORY DECISIONS, OR CERTIFICATION RESULTS. THE SERVICE IS A TOOL TO ASSIST WITH DOCUMENT ORGANIZATION AND DOES NOT GUARANTEE COMPLIANCE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUETH SYSTEMS & STRATEGY LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Rueth Systems & Strategy LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your Customer Content
  • Your violation of any third-party rights

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for violations of intellectual property rights.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

14. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
